1. Acceptance of Terms

By accessing seocutts.com ("Website") or engaging SEOCutts ("Company," "we," "us," "our") for digital marketing services, you ("Client," "you") confirm that you:

• Are at least 18 years of age or the legal age of majority in your jurisdiction
• Have the legal authority to enter into this agreement on behalf of yourself or your organisation
• Have read, understood, and agree to be bound by these Terms & Conditions
• Agree to our Privacy Policy, which is incorporated herein by reference

2. Service Usage

2.1 Permitted Use

You may use our website to learn about our services, submit enquiries, and engage us for legitimate SEO and digital marketing services for your business. All use must comply with applicable laws and regulations.

2.2 Prohibited Use

You agree NOT to use our website or services to:

• Engage in any unlawful activity or promote illegal products/services
• Scrape, copy, or reproduce website content without written permission
• Submit false or misleading information in contact forms
• Interfere with or disrupt our website servers or networks
• Attempt unauthorised access to any portion of our systems
• Transmit malware, viruses, or other harmful code
• Impersonate any person or entity

3. Service Descriptions & Deliverables

SEOCutts provides SEO services including Technical SEO, On-Page SEO, Off-Page SEO and Link Building, Local SEO, E-commerce SEO, and SEO Content Writing.

3.1 Service Agreements

Specific deliverables, timelines, and terms for each engagement will be detailed in a separate Service Agreement or Proposal, which forms part of these Terms. In case of conflict between a Service Agreement and these Terms, the Service Agreement prevails.

3.2 No Guaranteed Results

3.3 Client Cooperation

Service delivery depends on timely provision of necessary access, content, approvals, and feedback from the client. Delays caused by the client may affect project timelines and do not constitute a breach by SEOCutts.

4. Intellectual Property

4.1 Our Intellectual Property

All content on the SEOCutts website — text, graphics, logos, images, and software — is the property of SEOCutts and is protected by copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

4.2 Client-Owned Content

Any content, materials, data, or intellectual property you provide to us remains your property. You grant us a limited licence to use such materials solely for delivering the agreed services.

4.3 Work Product Ownership

Upon full payment of all fees, custom work products created exclusively for you transfer to your ownership. Strategic frameworks, templates, proprietary tools, and methodologies developed by SEOCutts remain our property.

4.4 Portfolio Rights

Unless you instruct us in writing otherwise, SEOCutts reserves the right to include your project in our portfolio and case studies for marketing purposes, without disclosing confidential business information.

5. Payment Terms

5.1 Fees

Service fees are as specified in the applicable Service Agreement or Proposal. All fees are in Indian Rupees (INR) unless otherwise stated and are exclusive of applicable taxes (GST).

5.2 Payment Schedule

• Monthly Retainer Services (SEO): Payment due in advance on or before the 1st of each month
• Project-Based Services: Typically 50% upfront, 50% upon project completion
• One-Time Services: Full payment due before work commencement

5.3 Late Payments

Invoices unpaid after 15 days from due date may incur a late fee of 1.5% per month on the outstanding balance. SEOCutts reserves the right to suspend services for accounts with outstanding balances exceeding 30 days.

5.4 Refund Policy

Due to the nature of SEO services (significant time and resource investment from day one), fees paid for services already commenced are generally non-refundable. Disputes regarding service quality must be raised within 15 days of the relevant monthly period.

5.5 Ad Spend

For Google Ads services, advertising budget is separate from our management fees and paid directly by the client to the advertising platform. SEOCutts does not retain any portion of your advertising budget.

6. User Responsibilities

As a client of SEOCutts, you agree to:

• Provide accurate, complete, and up-to-date information about your business and goals
• Ensure your business, products, and services comply with all applicable laws
• Not instruct SEOCutts to engage in black-hat SEO, deceptive, or fraudulent marketing practices
• Provide necessary access (website admin, analytics, ad accounts) in a timely manner
• Review and approve deliverables within the agreed timeframe (typically 5–7 business days)
• Promptly notify us of any business changes that may affect the SEO strategy
• Not use SEOCutts services to harm, defame, or mislead competitors or consumers

7. Confidentiality

Both parties agree to maintain the confidentiality of each other's proprietary information, business strategies, client data, and technical processes disclosed during the service relationship. This obligation survives termination of the service agreement for 2 years.

Confidential information does not include information that: (a) is publicly known through no breach of this agreement; (b) was rightfully known before disclosure; (c) is required to be disclosed by law or court order.

8. Limitation of Liability

Our total cumulative liability for any cause of action shall not exceed the total fees paid to SEOCutts in the three (3) months immediately preceding the event giving rise to the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless SEOCutts and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms & Conditions
• Your use of our services in an unauthorised manner
• Content, products, or services you asked us to promote
• Your violation of any third-party right, including intellectual property or privacy rights
• Your violation of any applicable law or regulation

10. Termination

10.1 Termination by Client

You may terminate monthly retainer services with 30 days' written notice. All outstanding invoices must be settled before termination takes effect.

10.2 Termination by SEOCutts

We may terminate or suspend services immediately if you breach these Terms, fail to pay invoices within 30 days, engage in deceptive or illegal marketing activities, or if continuing the relationship would expose SEOCutts to legal or reputational risk.

10.3 Effect of Termination

Upon termination, we will provide all your data and deliverables paid for in full. Provisions that by their nature should survive termination (intellectual property, confidentiality, limitation of liability) shall survive.

11. Warranties & Disclaimers

SEOCutts warrants that it will perform services with reasonable skill and care, in a professional and workmanlike manner.

EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

We make no warranties regarding results from Google, other search engines, or third-party platforms whose policies and algorithms are entirely outside our control.

12. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of India, specifically applicable in the National Capital Territory of Delhi, without regard to conflict of law principles.

Any legal proceedings arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

13. Dispute Resolution

13.1 Good Faith Negotiation

In the event of any dispute, both parties agree to first attempt resolution through good faith negotiation within 30 days of written notice.

13.2 Mediation

If negotiation fails, either party may request non-binding mediation before a mutually agreed mediator in New Delhi before pursuing litigation.

13.3 Litigation

If mediation is unsuccessful, disputes may be submitted to the exclusive jurisdiction of the competent courts in New Delhi, India.

14. Modifications to Terms

SEOCutts reserves the right to modify these Terms at any time. Changes will be effective upon posting with an updated "Last Updated" date. For significant changes, we will notify active clients via email at least 14 days in advance. Continued use of our services constitutes acceptance of the revised Terms.
